Kristián Csach is an associate professor of commercial law at the Faculty of Law, Trnava University in Slovakia focusing on Corporate Law and Private International Law, counsellor to the Ministry of Justice of the Slovak Republic for Corporate law and member of wiring groups for recodification of legal persons in civil law and the Act on Corporations. He is co-author of leading commentaries and course-books in Corporate law and more than 100 articles. He is also an arbitrator, attorney and a lecturer at the Judicial Academy of the Slovak Republic for Corporate law. Participated in multiple study stays (European University Institute in Florence, Max Planck Institute Institute for Private International Law and Legal Comparative Studies in Hamburg) and held lectures in various EU states. He is a regular speaker at scholarly meetings in corporate law, lectures for professional organisations as well as for the commercial sphere. In 2011 he received the Minister of Education, Science, Research and Sport as a Personality of Science and Technology under 35 years of age for the work in the field of freedom of contract and the importance of procedural justice in contracts of imbalanced power.
In the offered course, we shall focus on comparative aspects of corporate law, the different approaches to fundamental corporate law issues (formation and constitution of the corporation, corporate governance, liability issues, insolvency, shareholder participation, M&A) in different jurisdictions, the competition of legal orders and doctrinal ideas.

Formation of a corporation: preliminary phase, risk aversion, choice of corporation, constitutive framework: articles of association & shareholders agreements, litigation in the preliminary phase

Corporate disputes I: Director´s liability, D&O insurance, incentives and derivative claims, conflict of laws, litigation.

Corporate disputes II: validity of resolutions of shareholders´ assembly – different approaches, litigation strategies, procedural aspects.
